CapAid Terms of Service

1. Introduction and Acceptance of Terms
Welcome to CapAid. These Terms of Service ("Terms") govern your use of the CapAid platform, including our ACE (Advanced Credit Evaluation) software, consulting services, APIs, integrations, support, and associated documentation (collectively, the "Services"). These Services are provided by CapAid Oy ("CapAid," "we," or "us"), a company registered in Finland. By creating an account, accessing, or using our Services, you ("you" or "Client") accept and agree to these Terms and our Privacy Policy. If you disagree, you must not use our Services.
2. Definitions
Client: The business entity or individual accepting these Terms.
Services: ACE software, consulting, APIs, integrations, support, and associated services.
Confidential Information: All non-public information disclosed by either party.
Customer Data: All electronic data or information submitted by Client to the Services.
Authorized Users: Employees or representatives authorized by Client to access and use the Services.
3. Description of Services
CapAid provides automated credit policy management software, consulting, and related integrations to optimize your business's cash flow and manage credit risks. CapAid is not a bank, lender, or financial advisor, and does not guarantee specific financial outcomes.
4. Account Registration and Security
You must provide accurate, current information upon registration and maintain it accordingly. You are responsible for safeguarding your login credentials and controlling access granted to Authorized Users. Notify CapAid immediately of unauthorized access or misuse of your account.
5. User Responsibilities and Acceptable Use
You agree to:
Comply with all applicable laws and regulations.
Ensure accuracy and legality of Customer Data provided.
Prevent misuse of Services (including but not limited to unauthorized access, reverse engineering, introduction of malware or harmful code).
Refrain from engaging in fraudulent, illegal, or harmful activities.
Promptly report security breaches affecting the Services.
6. License Grant and Intellectual Property
CapAid grants you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations. CapAid retains all intellectual property rights, including rights to software, documentation, integrations, and APIs. Client shall not copy, modify, distribute, sell, lease, or reverse-engineer the software or associated Services. Client retains ownership of Customer Data, granting CapAid a license to use such data solely to provide and enhance our Services.
7. Confidentiality
Both parties agree to protect the Confidential Information received from the other party, ensuring it remains confidential unless disclosure is required by law or explicitly permitted in writing by the disclosing party. Confidentiality obligations survive termination of this Agreement.
8. Third-Party Services
Services may integrate or interact with third-party content, applications, or services. CapAid is not responsible for these third-party offerings, and your usage is subject to separate third-party terms and conditions.
9. Fees and Payment
Client agrees to timely pay fees outlined in agreements or invoices issued by CapAid. Payments are due within 30 days of invoice issuance unless otherwise agreed. Late payments will incur statutory interest. Fees are non-refundable except as legally mandated. CapAid reserves the right to adjust fees, providing 30 days' advance written notice.
10. Data Protection and Privacy
CapAid complies with GDPR and applicable data protection regulations. Client authorizes CapAid to process Customer Data following our Privacy Policy and your instructions. Client warrants it has necessary rights to transfer personal data to CapAid. CapAid will assist Client in complying with data subjects' rights, including access, rectification, and deletion requests.
11. Warranty and Liability
Services are provided "AS IS" without warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. CapAid does not guarantee uninterrupted or error-free service. Client remains responsible for verifying critical information obtained via the Services.
12. Limitation of Liability
CapAid shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or lost data. CapAid's total liability under this Agreement is limited to the fees Client paid within the 1 month preceding the claim.
13. Indemnification
Client agrees to indemnify and hold harmless CapAid against claims, losses, damages, liabilities, and expenses (including legal fees) arising from Client's breach of these Terms or unlawful usage of the Services.
14. Termination and Suspension
Either party may terminate this Agreement with written notice. CapAid reserves the right to suspend or terminate access immediately for breach of these Terms. Upon termination, access rights cease, and provisions regarding confidentiality, intellectual property, and liability remain effective.
15. Audit and Compliance
Client may request reasonable audits to ensure CapAid's compliance with data processing obligations, with such audits subject to CapAid's reasonable conditions and confidentiality obligations.
16. Governing Law and Dispute Resolution
These Terms shall be governed by Finnish law. Disputes shall exclusively be resolved in the competent courts of Helsinki, Finland.
17. Changes to Terms
CapAid may modify these Terms, providing written notification of significant changes. Continued use of Services post-modification constitutes acceptance. If changes are unacceptable, Client must discontinue using the Services.
18. Miscellaneous
These Terms represent the entire understanding between the parties, superseding prior agreements. Any provision deemed invalid shall not affect the validity of the remaining provisions. Failure to enforce any provision is not a waiver of future enforcement. Neither party is liable for performance delays caused by events beyond reasonable control (Force Majeure). CapAid may assign this Agreement without prior notice; Client may not assign without CapAid's explicit written consent.
19. Export Compliance
Client certifies compliance with applicable export controls and sanctions regulations and agrees not to use or permit the use of Services in contravention thereof.
